Terms & Conditions

Please read these Terms carefully. By creating an account or using Morphion.Art you agree to be bound by them.

1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of Morphion.Art, including any content, functionality, and services offered on or through the platform. The service is operated by Fabio Ott, Kornblumenweg 25, 91578 Leutershausen, Germany (Deutschland) ("we", "us", or "our"). If you do not agree with these Terms, you must not use the service.

Our Privacy Policy (Datenschutzerklärung) describes how we process personal data in accordance with the EU General Data Protection Regulation (GDPR). Additional policies or guidelines may apply to specific features and are incorporated by reference. In case of conflicts, mandatory consumer protection laws of your country of residence remain unaffected.

2. Eligibility & Accounts

The service is intended for individuals who are at least 18 years old. Persons aged 16 or 17 may only use the service with the consent of their legal guardian and, where required, consent to the processing of their personal data. Use by children under 16 years of age is not permitted.

By registering an account you warrant that the information you submit is accurate and kept up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. 3. Service Description

Morphion.Art provides tools that help you ideate, design, and export presentation materials using AI-assisted workflows. The service may evolve over time and we reserve the right to modify, suspend, or discontinue any feature at our sole discretion. Where reasonably possible we will provide advance notice of material changes affecting paid functionality. Unless expressly guaranteed, availability is offered on a best-effort basis.

4. Acceptable Use

You agree not to misuse the service or help anyone else do so. In particular you must not:

  • Upload, generate, or share content that is illegal, defamatory, discriminatory, hateful, deceptive, or harmful.
  • Create, request, or distribute child sexual abuse material, non-consensual intimate imagery, or deepfakes that impersonate real persons without their consent.
  • Use the service for harassment, identity theft, fraud, terrorist or extremist support, or to provide medical or legal advice without appropriate professional review.
  • Generate or disseminate malware, instructions for hacking, or other content intended to compromise security.
  • Use automated systems or bots to access the service in a manner that exceeds reasonable API rate limits or causes undue burden, including scraping outside documented interfaces.
  • Reverse engineer, probe, or compromise the security or integrity of the platform or associated systems.
  • Infringe third-party intellectual property rights or remove any proprietary notices.

We may remove content or suspend access if we reasonably believe that these Terms, applicable law, or our moderation policies have been breached.

5. Content & Intellectual Property

You retain all rights to the presentations, prompts, and assets you create with Morphion.Art, including AI-generated outputs, to the extent permitted by applicable law. You grant us a non-exclusive, worldwide, royalty-free licence to host, process, and display such content for the purpose of providing the service, ensuring security, complying with legal obligations, and improving core functionality.

We may analyse prompts and outputs to enhance quality, safety, and user experience, including via machine learning. You can opt out of the use of your content for product improvement at any time by contacting us at [email protected]. We will honour the opt-out for future processing while retaining data as required to provide the service or comply with law.

AI-generated results may not be unique and could be similar to outputs received by other users. We do not guarantee that the content you generate is free from third-party rights. If you believe that content available via Morphion.Art infringes your intellectual property rights, please notify us at the contact address above with details of the alleged infringement. We will review and, where appropriate, remove or restrict access to infringing material in accordance with applicable law.

All software, templates, and branding of Morphion.Art remain our property or that of our licensors. These Terms do not grant you any rights to use our trademarks, logos, or other proprietary markings without prior written consent. You are responsible for ensuring that your use of AI-generated content does not infringe the rights of third parties.

6. Pricing, Taxes & Payments

Fees for paid features are displayed in Euro (EUR) and, unless stated otherwise, include applicable value added tax (VAT). If we display prices excluding VAT, we will clearly indicate the net price and the applicable VAT rate. Where payments are processed in other currencies, conversion rates or fees applied by your bank or payment provider may apply.

We currently process payments via Stripe Payments Europe, Ltd. (The One Building, 1 Grand Canal Street Lower, Dublin 2, Ireland). By purchasing paid features you authorise us to charge the payment method selected during checkout. Invoices are provided electronically. If a payment cannot be collected, we may suspend or cancel your access to paid features until the outstanding amount is settled.

7. Consumer Withdrawal Right

If you are a consumer (Verbraucher) residing in the European Union or the European Economic Area and you purchase paid features remotely, you have a statutory right to withdraw from the contract within 14 days without giving any reason. The withdrawal period expires 14 days after the contract conclusion date. To exercise the right of withdrawal, you must inform us (Fabio Ott, Kornblumenweg 25, 91578 Leutershausen, Germany (Deutschland), [email protected]) of your decision by means of a clear statement (e.g. a letter sent by post or email).

For digital services that are not supplied on a tangible medium, the withdrawal right expires if we have begun performing the contract after you have expressly consented to us starting performance before the expiry of the withdrawal period and acknowledged that you lose your withdrawal right once performance has started. We will request these declarations during checkout where required.

8. Subscriptions, Renewal & Cancellation

Unless otherwise stated, subscriptions renew automatically for successive periods equal to the initial term (e.g. monthly or annually). The current price applicable to the renewal period will be communicated in advance if it changes. You can cancel a subscription at any time up to the end of the current billing period via the prominently labelled "Kündigen" (cancel) button in your account dashboard. We will confirm receipt of the cancellation electronically without undue delay.

After cancellation, paid features remain accessible until the end of the current billing period. Statutory termination rights remain unaffected.

9. Data Protection & Security

We act as the controller for personal data processed in connection with Morphion.Art. Details on legal bases, retention periods, recipients (including sub-processors and AI API providers), transfers to third countries, and your rights as a data subject are set out in our Privacy Policy. For data subject requests you may contact us at the address listed above. If we transfer personal data outside the European Economic Area, we implement appropriate safeguards such as EU Standard Contractual Clauses.

We expect you to avoid including special categories of personal data (e.g. health information) or information relating to minors in prompts unless you have a lawful basis and have informed the data subjects accordingly.

10. Moderation, Notice & Action (DSA)

As a hosting service provider under the EU Digital Services Act (DSA), we maintain rules for handling illegal content. You can report suspected illegal content or policy violations via email to [email protected]. Please provide sufficient detail to allow us to identify the content, explain why it is illegal or violates these Terms, and supply your contact information.

We review reports without undue delay, inform affected users of decisions taken (including reasons), and offer a means to contest moderation decisions. Authorities may reach us via the same contact point or the electronic contact form provided in our Impressum.

11. Third-Party Services

The service may integrate with third-party APIs, content libraries, or hosting providers (e.g. cloud infrastructure or AI model providers). We are not responsible for third-party services and your use of them may be subject to separate terms and policies. Links to external websites are provided for convenience only and do not signify endorsement.

12. Availability, Support & Maintenance

We strive to maintain a high level of service availability but do not guarantee uninterrupted access. Planned maintenance will be announced in advance where feasible. Support inquiries can be submitted via email at [email protected]. We aim to respond within two business days, excluding weekends and German public holidays.

13. Liability & Warranty

Morphion.Art is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we do not guarantee that the service or AI-generated outputs will be free from errors, suitable for a particular purpose, or compliant with third-party intellectual property rights. You remain responsible for reviewing outputs before using them in production or distributing them to others.

We are liable without limitation for intent and gross negligence, for damages arising from injury to life, body, or health, under the German Product Liability Act, and to the extent we have expressly assumed a guarantee. In the event of simple negligence, we are liable only for breach of essential contractual obligations (Kardinalpflichten); in that case our liability is limited to the foreseeable, contract-typical damage. Otherwise, liability is excluded.

14. Indemnification

You agree to indemnify and hold harmless Morphion.Art, its owner, and its service providers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the service, your violation of these Terms, or your infringement of any rights of another. This does not affect your statutory rights as a consumer.

15. Termination

You may stop using Morphion.Art at any time. We may terminate or suspend your access if you breach these Terms, if you materially misused the service, or if continued access would expose us to legal liability. We will provide advance notice where feasible. Upon termination, your right to use the service will cease, but provisions that by their nature should survive termination (including ownership, liability, data retention, and dispute resolution clauses) will remain in effect.

16. Data Portability, Retention & Deletion

You may export content from Morphion.Art using the tools provided in your account or by contacting us. Following termination or cancellation, we retain account data only as long as necessary for contractual purposes, to comply with statutory retention obligations, or to enforce our rights. Backups may be stored for up to 90 days before being overwritten in the ordinary course of business.

17. Changes to These Terms

We may update these Terms to reflect operational, legal, or regulatory changes. We will notify you at least 14 days before material changes take effect (or earlier where required by law) via email or within the service, explain the reasons for the change, and highlight your right to object. If you object to changes that materially disadvantage you, you may terminate your subscription free of charge with effect from the date the change would have taken effect.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law rules. If you are a consumer, the mandatory consumer protection provisions of your country of habitual residence also apply and you may bring claims before the courts of your domicile. For merchants, legal entities under public law, or special funds under public law, the exclusive place of jurisdiction is Ansbach, Germany.

The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr/. We are neither obliged nor generally willing to participate in dispute resolution proceedings before a consumer arbitration board under the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz). Mandatory provisions on dispute resolution remain unaffected.

19. Miscellaneous

Neither party is liable for delays or failures caused by events beyond their reasonable control (force majeure). We may assign this agreement to a successor that continues the service; we will inform you of any assignment that materially affects your rights. You may not transfer your rights or obligations without our prior consent. If any provision is held invalid, the remaining provisions remain in effect. A failure to enforce any provision does not constitute a waiver.

These Terms, together with any referenced policies, constitute the entire agreement between you and us regarding Morphion.Art. Communications under these Terms may be provided electronically. The contract language is German; this English version is provided for convenience. In case of discrepancies, the German version (if provided) prevails.
